1. Introduction

Welcome to Roamei, a service operated by 12423740 Canada Inc., a corporation incorporated under the laws of Canada ("Roamei," "we," "us," or "our"). These Terms of Service ("Terms") constitute a binding legal agreement between you ("you," "user," or "Customer") and Roamei governing your access to and use of the Roamei website, mobile applications, eSIM provisioning services, prepaid data plans, and any other related features or services (collectively, "Services").

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use or access the Services.

2. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflicts of law principles. Any disputes arising out of or in connection with these Terms, including their validity, interpretation, performance, or breach, shall be resolved exclusively by the courts located in Ontario, Canada.

3. Eligibility and Account Registration

  • You affirm you are at least 18 years old and have legal capacity to enter into these Terms.
  • Account creation requires accurate, current, and complete information. You agree to promptly update your information.
  • You are responsible for maintaining the confidentiality and security of your account credentials.
  • All activities under your account are your responsibility. You agree to notify us immediately of any unauthorized use or breach.

4. Services Description

Roamei provides prepaid eSIM data plans and top-up services for personal electronic devices compatible with eSIM technology. The Services currently are offered solely on a prepaid basis. We reserve the right to introduce subscription-based plans, promotional bonuses, referral programs, or additional features in the future at our sole discretion.

5. Third-Party Network Partners

Provision of network connectivity and related services is facilitated by trusted third-party network operators and technology partners ("Network Partners"). By using our Services, you acknowledge and consent that your information related to network provisioning and service usage may be shared with these third parties for the purpose of delivering and maintaining the Services. Each Network Partner may have its own privacy policies that govern their use of your information.

6. Purchase, Activation, and Usage

  • You must ensure you have a compatible, unlocked eSIM-enabled device before purchasing Services.
  • Data plans are purchased prior to activation on a prepaid basis. Upon eSIM download and activation, the purchased Data Plan period begins.
  • Services expire as per the purchased plan term or upon full consumption of data. Remaining unused data is non-refundable unless otherwise stated.

7. Payments, Pricing, and Taxes

Pricing and Currency

All prices for Services are displayed and charged in United States Dollars (USD). Roamei operates as a Canadian corporation and complies with Canadian tax laws. Canadian customers or users physically located in Canada will be charged applicable Goods and Services Tax (GST) or Harmonized Sales Tax (HST) regardless of the invoicing currency.

You acknowledge and agree that currency conversion, foreign exchange rates, and any related fees or charges imposed by your payment provider or financial institution are your responsibility. Roamei does not control and shall not be liable for any such fees or exchange rate fluctuations.

Payment Processing

Payments for Services are processed securely via Stripe, Apple Pay, Google Pay, or other authorized payment methods.

Taxes

  • For customers located outside Canada, the sale of Services is generally considered a zero-rated export for Canadian GST/HST purposes, and no Canadian sales tax will be charged.
  • For Canadian customers or customers physically present in Canada, applicable GST/HST taxes will be added to the amount charged in USD in accordance with Canadian tax law and remitted by Roamei.

You authorize Roamei to charge your selected payment method for all amounts due, including automatic top-ups or subscription renewals, if applicable. Email receipts with billing details will be sent post-payment to the email address associated with your account.

8. Refunds and Credits

  • Activated, used, or expired Data Plans are non-refundable.
  • Unused Data Plans may qualify for account credit if the eSIM is not installed or activated within 72 hours of purchase, subject to verification and applicable conditions.
  • Any credits granted are non-transferable and may be used only for future Service purchases.

9. Subscription and Auto-Renewal (if applicable)

  • If subscription services are introduced, subscriptions will renew automatically unless cancelled prior to renewal date.
  • You must maintain valid payment information to avoid disruption of Services.
  • Cancellation procedures and refund policies for subscriptions will be communicated clearly at the time of subscription.

10. Fair Usage Policy

To preserve network quality and fair access, Roamei enforces a Fair Usage Policy which prohibits:

  • Bulk or commercial resale of the Services
  • Machine-to-machine or automated data transactions beyond personal usage
  • Excessive or continuous tethering beyond reasonable personal use
  • Usage that negatively impacts network performance or other users

Roamei reserves the right to monitor usage, throttle speeds, suspend, or terminate Services for violations of this policy or these Terms.

11. Suspension and Termination

  • We may suspend or terminate access to your account and Services immediately and without notice for material breaches, illegal activities, fraudulent behavior, or as required by law or regulatory authorities.
  • Upon termination, all rights to Services cease immediately. No refunds will be issued for remaining balances except as expressly stated.
  • Termination does not limit other remedies available under law or equity.

12. User Obligations and Conduct

You agree to:

  • Use the Services lawfully, responsibly, and in accordance with these Terms
  • Not use the Services to transmit unlawful, harmful, or infringing content
  • Maintain device security and comply with instructions related to proper eSIM use
  • Provide identity verification if requested for regulatory compliance or fraud prevention

13. Privacy and Data Protection

Roamei collects and processes personal information as described in our Privacy Policy, including but not limited to name, contact details, payment data, device information, and service usage data. We comply with applicable Canadian privacy laws and take reasonable measures to protect your information.

14. Disclaimers and Limitation of Liability

  • The Services are provided "as is" and "as available" without warranties except those mandated by law.
  • Roamei disclaims all implied warranties, including merchantability and fitness for a particular purpose.
  • We do not guarantee uninterrupted or error-free Service, network coverage, or speed.
  • To the maximum extent permitted by law, Roamei's liability is limited to amounts paid by you in the preceding twelve (12) months.
  • In no event shall Roamei or its affiliates be liable for incidental, consequential, punitive, or special damages.

15. Indemnification

You agree to indemnify, defend, and hold harmless Roamei, its officers, directors, employees, and affiliates from any claims, damages, liabilities, or costs arising from your violation of these Terms or misuse of Services.

16. Changes to Terms

Roamei may update these Terms from time to time. Material changes will be communicated via email or at login. Continued use after changes constitutes acceptance.
